In Ghana, a sole proprietorship (a registered business name) is cheap and quick to set up and is owned by one person, who is personally responsible for the business's debts. A limited company costs more and needs more paperwork, but it is a separate legal person and its shareholders' liability is limited. Most small online sellers start as a sole proprietorship and move to a company when they have partners, investors or bigger contracts.
What is the main difference?
| Sole proprietorship | Limited company | |
|---|---|---|
| Who owns it | One person | Shareholders (the ORC page describes members as shareholders) |
| Legal identity | Same as the owner | Separate from the owners |
| Owner's liability | The owner is personally responsible | Limited to any unpaid amount on shares, per the ORC |
| Registration fee (ORC, Oct 2026) | GH₵ 130 | GH₵ 585, plus 1% capital duty on stated capital |
| Paperwork | Form A | Form 3C, accountant's consent letter, statutory declarations, stated capital, beneficial ownership |
| Yearly obligation | Annual renewal, GH₵ 70 | Annual returns with a financial statement, GH₵ 175, starting 18 months after incorporation |
| Tax number | Owner's Ghana Card PIN | Company TIN from the GRA |
All fees are from the Office of the Registrar of Companies fee schedule and service pages at orc.gov.gh, as of October 2026. Check them before you pay. Optional Prestige/VIP services cost extra for both types.
When does a sole proprietorship make sense?
- You work alone: a seamstress, a photographer, a tutor, a reseller, a freelance designer.
- You are testing an idea and want to keep costs low.
- You mainly need a business name and a certificate to open a business account.
The tradeoff is that the business and you are the same person in law. If the business owes money, your own assets can be pursued.
When does a limited company make sense?
- You have co-founders or investors who need shares.
- You want to separate the business's debts from your personal money.
- You plan to bid for larger contracts, where clients ask for a registered company.
- You want a structure that can grow beyond one person.
It costs more up front and every year, and the paperwork is heavier. The ORC page asks for a consent letter from a licensed chartered accountant to act as auditor, so you need to find one early. It also lists director and secretary consent letters. Check the minimum number of directors with the ORC before you apply.
How does tax compare?
We will not quote tax rates here, because rates and thresholds change and are set by the Ghana Revenue Authority (GRA). What we can say from the GRA's own pages:
- For individuals, the Ghana Card PIN is the tax identification number, and the GRA says getting a TIN is free.
- Companies and organisations still register for and use a GRA-generated TIN.
- The GRA has simplified arrangements for small businesses that are not VAT-registered. Whether you qualify depends on your turnover and your situation.
Read the GRA's pages at gra.gov.gh, or ask a GRA office or a licensed accountant, before you choose based on tax. For the TIN step, see how to get a TIN in Ghana.
Which should an online seller pick?
A simple rule:
- Selling alone from your phone or a small shop? Register a business name. It is the cheaper start. See how to register a business in Ghana.
- Splitting ownership with someone, or raising money? Go with a limited company.
- Not sure yet? Start with a business name. You can convert later. The ORC has pages for changing a business name (sole proprietorship) into a partnership or a company, so you do not have to start from nothing.
You do not need to register before you start selling. You can open a free Paylead account, add your products and take MoMo and card payments while you decide. Online payments cost 4% + GH₵ 1 per sale. If you do register later, add your business name to your store and invoices.
Cost summary: first year
For a sole proprietorship, the ORC registration fee is GH₵ 130 and the renewal is GH₵ 70 each year after. For a company, the incorporation and filing fee is GH₵ 585, plus capital duty and, from 18 months after incorporation, GH₵ 175 for annual returns. Accountant fees, agent fees and local permits are extra, and we have not listed amounts for those. See the sole proprietorship registration fee guide and documents you need.
FAQ
Can a sole proprietorship be turned into a limited company?
The ORC has pages for converting a business name into a partnership or a company. Ask the ORC about the current process and fees.
Is a limited company better for tax?
We cannot say. It depends on your income and structure. Check the GRA's pages or speak to a licensed accountant.
Do I need a company to open a business bank account?
Banks have their own rules. Many accept a business name certificate. Ask your bank which documents it wants.

Yes. Many Ghanaian online sellers do. Registration is separate from selling.
Do I need two people to start a limited company?
Check the ORC's current requirements for directors and shareholders on its incorporation page or by phone before you apply.
